CHAPTER I

Denomination, headquarters and the like

 

Article 1

 

Goldwing Clube de Portugal, also known as GWCP, is a non-profit association founded on February 10, 1993.

 

Article 2

 

 

The GWCP is prohibited from any partisan political activity.

 

 

CHAPTER II

insignia

 

Article 3

 

Goldwing Clube de Portugal (GWCP) is a registered trademark in accordance with Annex I and II of these internal regulations.

 

Article 4

 

 

The GWCP may design emblems of a different nature for events related to associative activity.

 

CHAPTER III

partners

 

Article 5 - Membership Categories

 

1 - The members are divided into three categories: effective, extraordinary and honorary.

2 - Effective partners are natural persons, owners of motorcycles of the Honda brand, Goldwing model or natural persons holding capital in companies that own or hold financial leasing contracts, ALD or renting of a motorcycle of the aforementioned model and legally entitled to motorcycle driving.

3 - Extraordinary partners are the remaining natural or legal persons not covered in the previous paragraph.

 

Article 6 - Application and admission

 

1 - The candidacy of natural persons is the admission process in which the proponent, through their own form, expresses their conscious and informed desire to join the GWCP.

2- The application to be a member of the GWCP must be accompanied by the payment of the proportional amount of the quota corresponding to the number of months until December 31, including the month of registration, as well as proof of legal license to drive motorcycles. After approval by the Board of the admission process, the candidate will become an effective member.

3 - The admission of natural or legal persons to honorary members requires approval at the General Assembly, through a duly substantiated written proposal from the management or any associate, delivered by the end of the calendar year.

 

Article 7 - Quotas

 

1 - The quota is considered to have expired on the first day of the month of January, and must be paid before that date.

2 - The quota will be paid annually and in a single installment.

3 - A member who does not pay his share within the period established in paragraph 1, is automatically suspended from his rights as a member.

4 – All amounts delivered to GWCP for payment of fees or fees are not returnable.

5 – The honorary member is exempt from the payment of membership fees.

 

Article 8 - Change in membership category.

 

1 – The effective member immediately becomes an extraordinary member and vice-versa from the moment he ceases to be in the conditions referred to in number 2 of Article 5.

 

Article 9 - Membership Status

 

Regarding the club, the member may be in one of the following conditions:

 

a) Suspended - Any member may request his/her suspension from the Board of Directors, for a specified period, but never longer than two years, substantiating his/her request in writing. After approval of his suspension by the Board, he loses all membership rights until he becomes an active member.

 

b) Excluded - The partner may be excluded, through an exclusion process  which is merely administrative and within the competence of the management, for non-payment of the quota for a period exceeding 12 months.

The exclusion also originates, through the request of resignation of the partner.

The excluded member may re-apply to become a member of the GWCP, under the terms of Article 6.

 

c) Expulsion - The expulsion process implies the elaboration and conclusion of a disciplinary process.

 

d) The expelled member may reapply. The request must be analyzed by the Board and sent to the General Assembly.

 

Article 10 - Rights of members

 

1 - Any member can:

The)  Participate in national and international activities, promoted by the GWCP and the like.

B)  Enjoy and enjoy the benefits, benefits and other advantages of the GWCP or other national and international entities with which the GWCP has a protocol, agreement, agreement on any article, area, matter, service provision or differentiated activities.

2 - The GWCP can only be represented by effective members.

3 - The effective members and the fees that meet the conditions set out in paragraph 2 of article 5, are the only voters and eligible for the governing bodies.

4 – Every member who actively participates in the annual total of club events will be awarded at the end of the year with the “Winger of the Year” award.

 

 

Article 11 - Duties of Associates

 

Partners must:

The)  Comply with the provisions of the Statutes and Internal Regulations;

B)  Collaborate with the governing bodies;

ç)  Comply with the decisions of the Board;

d)  To look after and defend the interests of the GWCP;

and)  Report harmful facts to the GWCP;

f)  Pay the annual fee;

g)  Participate and boost the associative life of the GWCP;

H)  Inform GWCP about the changes concerning your personal data and others related to your membership category, within a maximum period of 30 days.

i)   Deliver to the GWCP by the anniversary of the following year, any and all trophies/awards, with a list of participants, received on behalf of the GWCP.

j)  Carry out with zeal and diligence the functions for which it is appointed or requested, free of charge;

Chapter IV

GWCP Regional Centers

 

Article 12 - Constitution

 

1 - The request for the constitution of regional nuclei of the GWCP, must be addressed to the Direction, being subscribed by the minimum of 10 effective members of the geographic zone foreseen for the constitution of the same.

2 – The signatories of the request for the constitution of the regional nucleus may appeal to the General Assembly, if the Directorate rejects their request.

 

Article 13 - Operation

 

1 – The regional nuclei are under the GWCP Board and are subject to the Statutes and the General Internal Regulation.

2 – Any activity promoted by the regional centers, outside their local scope, must be communicated to the GWCP Board.

 

3 – The regional nucleus will not be able to schedule activities with dates that coincide with the official GWCP events, except for the mobilization of associates in order to participate in these events.

 

CHAPTER V

 

Article 14 - Official means of communication and representation of the GWCP

 

1 - Website

 

The)  The official website of the GWCP must have its own domain, owned by the GWCP.

 

B)  It must contain the following headings:

   - Club history

   - Internal Regulation

   - Link to event photos.

   - Complete list of activities for the current year (Calendar and program of events)

   - Privileged section for the International Concentration.

   - Others considered of interest;

 

ç)  The Management is responsible for appointing the person responsible for the "site" who will be in charge of its maintenance and content, who will report directly to the Management. If there is no person in the GWCP who has the knowledge to undertake this task, the Board will hire someone for this purpose.

 

 

2 – Mailing list

 

The)  The mailing list will be an informal means of communication restricted to partners and governing bodies.

 

B)  The person responsible for the mailing list will be in charge of registering participating members and must prohibit the publication of texts or photos that are considered provocative, insulting or whose content is inappropriate to the objectives of the GWCP.

 

3 – The International Representative is responsible for:

 

The)  Represent the GWCP with foreign clubs and GWEF.

 

B)  Promote the GWCP and in particular the GWCP International Concentration, with foreign clubs and their members.

 

ç)  Provide support to foreign Goldwing motorcycle users who visit our country and request it.

 

d)  Ensuring that events organized by the GWCP, with GWEEF recognition, comply with the rules of the same.

 

4 – Goldwing News

 

The)  Goldwing Notícias, is the communication organ of the GWCP, whose main function is to maintain contact between the Board and the partners through the timely dissemination of information, expression of opinions, either in the editorial (in charge of its Director), or in the opening note (by the Chairman of the Board), maintaining a traditional narrative function of past events and publishing photos in the style of a magazine.

B)  Any member is allowed to send articles and opinions that will be reproduced in full, unless their content is manifestly contrary to the good principles of education,  incitement to discord and violence.

ç)  The advertising included in Goldwing Noticias must be paid at a price set by the Board and the proceeds are intended to cover editing expenses.

d)  The Director of Goldwing Notícias is appointed by the Board, with no established period,  being responsible for the content thereof, and must also ensure, as much as possible, compliance with the publication deadlines.

CHAPTER VI

Article 15 - Elections

 

1 - Elections must be held officially every two years and during the first event of the following year.

2 - Up to thirty days before the elections, the Board in office will present, to the President of the General Assembly, the list of the Governing Bodies that it has prepared.

3 - During the same period, other lists may be submitted provided they are subscribed by a number of 8 effective members with more than one year of seniority in full enjoyment of their statutory rights.

4 - The member is allowed to belong to more than one candidacy and to subscribe to more than one electoral list, but cannot be a subscriber to the list of which he is a member.

5 - To belong to a candidacy, the member must be effective, with more than one year of seniority and in full enjoyment of their statutory rights.

 

Article 16 - Lists

 

1 - All electoral lists must be presented to the Chairman of the Board of the General Assembly and will be accompanied by statements from the proposed members, confirming the acceptance of the position for which they are candidates.

2 - In the electoral lists, the place for which each candidate proposes to be elected will be designated.

3 - The Chairman of the Board of the General Assembly will verify the eligibility of candidates and reject the electoral list or lists that contain ineligible candidates.

4 - With the electoral lists in hand, the Chairman of the Board of the General Assembly will have the respective voting lists drawn up and will identify each one by a Letter.

 

Article 17 - Ownership of the Governing Bodies

 

The inauguration of the elected governing bodies will be given up to 30 days after the elections, or the due sanction, if applicable, at a place, date and time set by the Chairman of the Board of the outgoing General Assembly.

 

Article 18 - Change/Withdrawal of Positions

 

  1 - If, during the term of office, the position of Chairman of the Board or of the Supervisory Board becomes vacant, it will be filled by one of the other elements elected for the same body, in the case of the Chairman of the General Assembly, the position will be filled by the Secretary .

2 - Vacancies in effective positions during the term of office shall be filled by co-option.

3 - The collective resignation or abandonment of the Board implies that the other Management Bodies consider themselves to be jointly responsible and, in this case, the Chairman of the General Meeting must convene an Meeting, within 15 days, counting from the date on which he became aware of the fact, for the election of new Management Bodies.

 

Article 19 - Governing Bodies

 

1 - The governing bodies of the GWCP are the Management, the General Assembly and the Supervisory Board.

 

Article 20 - Definition

 

1 - The Board of Directors is the executive body par excellence, ensuring compliance with statutory or regulatory provisions and decisions of the General Assembly.

 

2 – The General Assembly is the highest body of the GWCP.

 

3 – The Supervisory Board is the supervisory body of the administrative and financial acts of the GWCP Board.

 

Article 21 - Constitution

 

1 – The Board is made up of the President, Vice-President and Treasurer.

2 – The Board of the General Meeting is made up of the Chairman and Secretary.

3 – The Supervisory Board is made up of the President, Vice-President and Secretary.

 

Article 22 - Management Competencies

 

1 - The Management is responsible for:

 

a) Issue and disseminate communications;

b) Set up working committees;

c) Organize the activities of the Club;

d) Program and execute the Annual Activities Plan;

e) Propose the convening of Extraordinary Assemblies;

f) Propose amendments to the Statutes and Internal Regulations;

g) Appoint and remove the International Representative, the person responsible for the website, the person responsible for the Mailing List and the person responsible for Goldwing Notícias.

h) Accept or reject the applications;

i) Appreciate the process of admission, suspension and exclusion of the member;

j) Submit a proposal for the expulsion of a member to the General Assembly;

k) Apply sanctions after completion of the respective disciplinary process;

l) Establish prizes and award them to participants in national activities planned and carried out by the GWCP;

m) Resolve all cases, even those that are not regulated or provided for by statute or regulation, and must subsequently be ratified by the General Assembly.

n) Represent the GWCP, in any banking institution, with the purpose of opening, operating and closing accounts, issuing, cashing and signing checks, making deposits, withdrawals, transfers and applications, requesting account statements, recognizing, verifying and/or contesting balances , request a password to access accounts via the internet, claim and provide statements and information, in short, perform all legal acts necessary for the faithful fulfillment of this mandate.

o) Decision-making by the Board of Directors is by simple majority. In the event of a tie, the President has a casting vote.

P)  Provide the Supervisory Board with any and all documentation relating to Financial management, whenever requested and annually, the Management Report and accounts for presentation at the General Meeting.

q) Accept resignation requests made by associates.

 

 

2 - The directive acts can be appealed to the General Assembly.

 

Article 23 - Competencies of the members of the Board

 

1 - The Chairman of the Board is responsible for:

 

a) Summon the Board;

b) Direct the work of the Directorate;

c) Present the Activity Plan;

d) Delegate competence and representation;

e) Convene and direct the work of the Directorate;

f) To institute disciplinary proceedings against the partners;

g)  Represent the GWCP before any public or private entity, national or foreign, regardless of the nature of the matter;

h) To be a granting party, on behalf of the GWCP, in any legal process, contract, deed, as long as authorized by the General Assembly;

i) Represent the GWCP, in any banking institution, with the purpose of opening, operating and closing accounts, issuing, cashing and signing checks, making deposits, withdrawals, transfers and applications, requesting account statements, recognizing, verifying and/or contesting balances , request a password to access accounts via the internet, claim and provide statements and information, in short, perform all legal acts necessary for the faithful fulfillment of this mandate, being able to delegate powers to the Vice-President.

 

2 – Vice-President is responsible for:

 

The)  Substitute the President in his impediments

B)  Perform all functions delegated by the President

c) Archiving the documentation;

d) Dispatch correspondence;

e) Maintain the general inventory of the GWCP;

f) Keep the membership file up to date;

g) Present the annual map of the change in the category of partners;

h) Elaborate the administrative process of admission and suspension of the member.

i) Draw up minutes of Board meetings and file them chronologically;

 

3 - The Treasurer is responsible for:

 

a) Verify the payment of dues;

b) Alert and indicate the partners with overdue quotas;

c) Prepare the budget annually;

d) Submit the balance sheet monthly;

e) Book revenue and expense books;

f) Report to management whenever requested;

g) Receive and pay in accordance with the commitments assumed by the GWCP.

h) Represent GWCP, in any purchase or sale contract, of any kind

or type.

4 - The International Representative is responsible for:

 

The)  Represent the GWCP with foreign clubs and GWEF;

B)  Promote the GWCP and in particular the GWCP International Concentration, with foreign clubs and their members;

ç)  Provide support to users of Honda motorcycles, model Goldwing, foreigners who visit our country and request it;

d)   Ensuring that events organized by the GWCP, with GWEF recognition, comply with the rules stipulated therein.

and)  Be proficient in the English language, both spoken and written.

f)  Support GWCP members traveling to international, club-level and GWEF events whenever they request.

g)  Send the “Help-Guide” made available by the GWEF to members annually.

H)  Make the minutes of the GWEF meetings available, as soon as they are available for this purpose.

 

Article 24 - General Assembly

 

1-The meetings of the General Assembly are ordinary or extraordinary and they are

2 – The General Assembly will ordinarily meet in the first quarter of each year, for the presentation, discussion and voting of the report and accounts of the Board and the opinion of the Supervisory Board or any other reports and opinions of the Governing Bodies.

3 - Extraordinarily, it will meet at the will of the President of the General Assembly, or by whoever replaces him, or when required by the Board, Supervisory Board or by a group of effective partners, in a number of not less than one fifth of the existing ones, in full enjoyment of their rights, and the reasons for the call must be specified in the convening request.

4- The convening of the General Assembly meetings will always be made by means of a postal notice, sent to each of the associates, at least eight days in advance, indicating the day, time and place of the meeting and the respective agenda.

5 - In the meetings of the General Assembly, the members that constitute it must be registered in the attendance books.

6 - The aforementioned registration will only be allowed with the presentation of the respective member's identity card and with the fee paid in accordance with the regulations.

7 - The President of the General Assembly may allow the exemption of the member's identity card, provided that he has a legal document that allows his identification or personal recognition at the time.

8 – The registration must be made in the attendance register and only the effective, registered members may take an active part in the work of the General Assembly.

9 - In the meetings of the General Assembly, any matters of interest to the Club, which are not on the agenda, may be presented during a limited period of time, granted for this purpose by the President of the Assembly at the beginning or at the end of the meeting.

10 - The resolutions of the General Assembly will be taken by a simple majority of votes of the registered effective members, by the spot voting system.

11- Whenever it involves merit, demerit or expulsion of any member, the vote must be carried out by secret ballot.

12 – Votes by proxy, correspondence or delegation will not be accepted.

 

Article 25 - It is incumbent upon the President of the General Assembly                                                                        

  The)  Convene the General Assembly, annually, during the first quarter, for discussion and approval of the accounts and report of the Fiscal Council, attaching the necessary documents for the analysis of the associates.

B)  Convene the General Assembly, every two years, in the last two months, for the election of the Governing Bodies.

ç)  Convene the extraordinary general meeting, whenever required;

d)  During the sessions, open and close work, interrupting them if necessary and reopening them again or in a new session on a day to be designated, ensuring compliance with the agenda and maintaining order in the Assembly.

and)  Ensure compliance with the Statutes and Regulations;

f)  Order the votes, declare the respective results and maintain the resolutions of the Assembly, provided they do not contradict the provisions of the Statutes and Internal Regulations;

g)  Proclaim the election of the governing bodies;

H)  Initial the books of minutes of the General Meeting and sign the minutes prepared:

i)   Guarantee the replacement of the Secretary of the General Assembly, in case of absence, appointing a substitute secretary, among the registered members.

 

 

Article 26 - It is incumbent upon the secretary

 

   a) Read the minutes of the previous Meeting, for consideration and voting, as well as all the files and correspondence addressed to the General Meeting.

   b) Collect all the elements for the minutes of the meeting and write them, also providing for the work of the General Assembly.

   c) Sign, together with the President of the General Assembly, the minutes and other acts of investiture.

   d) Substitute the President of the General Assembly, in case of absence, appointing a substitute secretary from among the registered members.

   e) Perform all the functions delegated to it by the President of the Assembly.

 

 

Article 27 - Powers of the Supervisory Board

 

1- It is incumbent upon the Supervisory Board to supervise the administrative and financial acts of the Board and verify its accounts and reports.

2-Unless otherwise provided by law or bylaws, resolutions are taken by majority vote of the holders present, with the chairman, in addition to his vote, having the right to cast a tie-breaking vote.

3- Study the matters that are distributed to them and prepare reports and draft opinions, for consideration at the General Assembly.

4- Issue an opinion on the Annual Accounts Report, sending it to the President of the General Assembly.

 

 

Article 28  

 

1 - It is incumbent upon the President

 

   a) Convene meetings of the Supervisory Board and preside over its work;

   b) Represent the Supervisory Board in all acts that they deem necessary to intervene.

 

2 - It is incumbent upon the Vice-President

 

The)  Substitute the Chairman of the Supervisory Board, in his/her absence, in all acts deemed necessary to intervene.

 

3 - It is incumbent upon the Secretary

 

   a) Secretary the meetings, prepare the minutes, promote the work of the Supervisory Board and organize its file.

 

 

 

CHAPTER VII

subject

 

 

Article 29

 

1 - Any act or behavior that violates the guiding principles of the GWCP provided for in these internal regulations constitutes a disciplinary infraction.

 

2- The disciplinary sanctions applicable to members for the infractions they commit are the following: Written reprimand, Suspension and Expulsion.

 

a) The sanction of written reprimand consists of mere repair for the irregularity practiced, not being mandatory to initiate a disciplinary procedure, with the associate having the right of contradictory and appeal to the General Assembly.

b) The sanction of suspension consists of the complete removal of the member from the club.

c) The sanction of expulsion consists of the definitive removal from the club.

 

 

Article 30

 

1 - A disciplinary infraction committed by a member may give rise to disciplinary proceedings as soon as it becomes known to any governing body of the GWCP or its members.

2 - It is incumbent upon the Board to decide on the initiation of disciplinary proceedings.

 

Article 31

 

1 - Disciplinary proceedings will be instituted based on a report, when the practice of infraction is witnessed or verified.

2 - Disciplinary proceedings may also be initiated based on the participation made to the Board by official entities, or by any partner.

3 - It is incumbent upon the Board of Directors to appoint the instructor of the disciplinary process, which must be completed within a maximum period of 60 days.

4 - After the process has been instructed, if the veracity of the infraction and the defendant's responsibility are verified, he will be notified to, within five days, present his written defense and offer the documentary evidence and witnesses he deems necessary.

5 - Once the disciplinary process has been completed, your instructor will send it to the Board with the respective report, which will make it go to the General Assembly with its opinion, if applicable. An Extraordinary General Meeting will be convened within a maximum period of 30 days, for consideration of the process.

6 - As long as the process is not considered by the General Assembly, the accused partner will be preventively suspended.

7 - Any of the penalties provided for in these Internal Regulations must be communicated to the member within five days, by the President of the General Assembly.

8 - The penalties provided for will be written reprimand, suspension up to a maximum period of 24 months and expulsion. The expulsion of the member, considered at the General Meeting, will be by deliberation of a qualified majority equivalent to ¾ of the shareholders present at that General Meeting.

 

i) Appreciate the process of admission, suspension and exclusion of the member;

j) Submit a proposal for the expulsion of a member to the General Assembly;

k) Apply sanctions after completion of the respective disciplinary process;

l) Establish prizes and award them to participants in national activities planned and carried out by the GWCP;

m) Resolve all cases, even those that are not regulated or provided for by statute or regulation, and must subsequently be ratified by the General Assembly.

n) Represent the GWCP, in any banking institution, with the purpose of opening, operating and closing accounts, issuing, cashing and signing checks, making deposits, withdrawals, transfers and applications, requesting account statements, recognizing, verifying and/or contesting balances , request a password to access accounts via the internet, claim and provide statements and information, in short, perform all legal acts necessary for the faithful fulfillment of this mandate.

P)  Provide the Supervisory Board with any and all documentation related to Financial management, whenever requested and annually, the Management Report and accounts for presentation at the General Meeting 

CHAPTER VIII

Article 32

 

 

These Internal Regulations will enter into force as soon as they are approved by the GWCP General Assembly.
