BYLAWS OF THE ASSOCIATION

GOLDWING CLUBE DE PORTUGAL

 

 

 

ARTICLE ONE

 

The "Goldwing Clube de Portugal" aims to promote motorcycle tourism, the dissemination of the Honda Goldwing model motorcycle, as well as the defense of the interests of associates as users of this type of motorcycles, promoting the acquisition of parts and accessories, obtaining information of a technical nature and ensure the resolution of all related issues. 

 

 

ARTICLE TWO

 

The “Goldwing Clube de Portugal” is constituted by the owners of Honda motorcycles, Goldwing model, of any type, provided that they are registered under the terms and conditions defined by these statutes.

 

 

THIRD ARTICLE

 

“Goldwing Clube de Portugal” has its headquarters at the place where the Chairman of the Board lives, in each term of office or in a place he designates.

 

 

ARTICLE FOUR

 

It will be up to the Club to promote its image and activity both nationally and internationally, through its membership in the GWEF (GOLDWING EUROPEAN FEDERATION).

 

 

ARTICLE FIVE

 

“Goldwing Clube de Portugal” will begin its activity on the date of execution of this deed and will last indefinitely.

  

 

ARTICLE SIX

 

The Club will have effective members, honorary members and extraordinary members.

  

 

ARTICLE SEVEN

 

Effective members are those who, owning Honda Goldwing motorcycles, register in the association and pay the respective membership fee in a timely manner.

  

 

ARTICLE EIGHT

 

Honorary members are those who, on the proposal of the Board and for services rendered to the Club, are proposed as such and are approved by the General Assembly.

 

  

ARTICLE NINE

 

Extraordinary members are all those not provided for in articles 7th and 8th of these statutes, under the terms established in the internal regulations.

 

 

ARTICLE TEN

 

For the registration of effective members, an annual fee and membership fee must be paid, the amount of which will be established at the General Meeting on the proposal of the management.

 

 

ELEVENTH ARTICLE

 

The Club's governing bodies are made up of: GENERAL MEETING, FISCAL COUNCIL and MANAGEMENT.

 

 

TWELFTH ARTICLE

 

The competence and manner of functioning of the General Meeting are those prescribed in the applicable legal provisions, namely in articles one hundred and seventy to one hundred and seventy-nine of the Civil Code.

 

Sole Paragraph: The General Assembly will elect a president who in turn will choose a secretary.

 

 

ARTICLE THIRTEEN

 

It is incumbent upon the Chairman of the General Meeting to convene and organize General Meetings as well as direct them.

 

First Paragraph: In addition to the other cases provided for in the Law, the General Assembly may be convened by the President of the same at the request of the President of the Board.

 

Second Paragraph: The General Meeting is convened by letter addressed to the partners, at least eight days in advance of the date of its realization.

 

 

ARTICLE FOURTEEN

 

The Supervisory Board is made up of three elements elected at the General Meeting: a Chairman, a Vice-Chairman and a Secretary, who are responsible for preparing the Management Report and Accounts and the respective opinion.

 

 

ARTICLE FIFTEEN

 

The Board is made up of a President, a Secretary and a Treasurer, elected by the General Assembly.

ARTICLE SIXTEEN

 

The Association is bound by the signature or intervention of any member of the Board.

 

 

ARTICLE SEVENTEEN

 

The conditions of admission and exclusion of members, the rights and obligations of members, as well as the competence of the Board will be defined in Internal Regulations prepared and approved by the Board and ratified by the General Assembly.

 

 

ARTICLE EIGHTEEN

 

In everything else not provided for in these Statutes, the Legislation in force will apply.
